AMERICAN BUGGY ASSOCIATION

BY LAWS

Article I – Name

 

1. The name of the Corporation shall be called the American Buggy Association.

 

a. The name shall imply an association of persona commonly interested in dune,

desert, or bush buggies.

 

b. The buggies may be land vehicles of two wheel drive, water or air cooled,

and constructed either commercially or by the individual.

 

Article II – Objectives

 

1. To provide a means for individuals interested in dune buggies to meet, plan,

and participate in field trips, social events, and competitive functions.

 

2. To promote friendship, helpfulness, and cooperativeness among the members.

 

3. To practice conservation on outings or field trips; to preserve natural beauty;

to protect plant and animal life in its natural state; to avoid littering the

deserts and to remove litter from these areas whenever possible.

 

Article III - Basic Policies

 

1. The Corporation is organized pursuant to the General Non-profit Corporation Law of

the State of California.

 

2. The principal office of the Corporation is located in Los Angeles County.

 

3. The organization shall meet four or more times a year at a date, time and place to

be determined by the officers of the organization. One-third of the active members

of the club shall constitute a quorum. The officers may meet as often as necessary

at their own discretion.

 

4. No member of the organization shall make any commitment, or enter into any agreement

binding upon the organization, without prior approval by a majority vote of the

membership at a regular meeting.

 

5. All A.B.A. monies will be spent for the benefit of the membership, with no

expenditures made for the benefit of any private individual.

 

6. Should an appropriation or expenditure be approved for anything for which there may

be insufficient funds in the Corporation Treasury, an assessment may be made of each

member, so long as the assessment and amount is approved by a 2/3 vote of the total

membership.

 

7. If any member does not pay his assessed amount within a reasonable time (as set

by the membership), his membership may be terminated by majority vote of the

membership.

 

8. In the event of dissolution of the organization, and after all Corporation debts

and it's obligations are provided for, it's assets shall be distributed equally

among the membership in accordance with Section 9801, Chapter 6, Part I, Division 2,

of the Corporation Code of California.

 

9. When the reputation and/or interests of the A.B.A. as a whole are held in

jeopardy by an individual, that individual's membership shall be evaluated by

the Guidance Committee, when requested by any member(s), and the recommendations for

action of the Guidance Committee shall be put up for a vote, with prior

notification, to the membership. Actions are to be enforced only upon a (2/3)

two-thirds vote of members present at that particular regular meeting.

 

Article IV - Membership and Classification

 

1. Classes of memberships

 

Membership in this club shall be primarily of the active class as defined herein.

There shall be only one (1) other class of membership, viz, honorary.

 

2. Active Memberships

 

Any prospective member may be admitted to active membership by filing an

application thereto and after attending a minimum of two (2) outings and two (2)

meetings, be duly elected to membership by a two-thirds (2/3) vote of members

present at any regular meeting.

 

3. Honorary Memberships

 

a. Any person who has performed some distinguished service to further the

cause of buggying, and who is not an active member of this club, may

be elected by the club as a whole as an honorary member of the club

for the period of one (1) year and thereafter may be re-elected from

year to year by the Guidance Committee.

 

b. An honorary member shall pay neither membership fee nor annual dues, and

shall be entitled to all privileges of the club except those of voting

and holding office.

 

4. Fees, Dues, and Rights

 

a. The voting power, property rights, and interest of all active members shall

be equal.

 

b. Membership is construed to consist of a family, each family having two votes.

 

c. The membership fee shall be $25.00 payable at time of application.

 

d. The annual dues shall be $25.00 plus current C.O.R.V.A. dues payable upon

election to membership and thereafter on the first of January. A member is

considered delinquent in payment and subject to revocation of membership prior

to the February meeting.

 

e. Each member shall be a C.O.R.V.A. (California Off Road Vehicle Association)

member.

 

Article V - Officers and Elections

 

1. Each officer of the A.B.A. must be an active member of this organization.

 

2. The officers shall consist of: President Vice-President Secretary Treasurer

Guidance Committee (5).

 

3. Nominations of officers will be held in next to the last scheduled meeting

of the year. Election of officers will be held in the last scheduled meeting of

the year. Ballots will be mailed to all members in sufficient time to allow return

by the November meeting.

 

4. A majority vote by secret ballot is required to elect all officers; however,

if there is but one candidate for any office, the secret ballot for that office

may be dispensed with and the election held by voice.

 

5. An Executive Board (or Board of Directors) shall consist of the Guidance Committee.

 

6. Elected officers shall function without pay.

 

Article VI - Duties of Officers:

 

1. The President shall preside at all meetings of the association using a form of

parliamentary procedure; he is the authorized leader of the association and will be

the A.B.A. spokesman at all outings, field trips, or functions; he may appoint

members to Special Committee; he shall be an automatic member of all committees.

 

2. The Vice-President, in the absence of the President shall preside at all regular

meetings of the club. The Vice-President shall also serve as Chairman of the

Guidance Committee, and in the event the President can no longer serve, shall

succeed him as President.

 

3. The Guidance Committee consists of five (5) elected officers; the duties

of the Guidance Committee is to plan social events or field trips; they

may plan special functions or programs (speakers, movies, etc.) to present

at the meetings. All recommendations of the Guidance Committee that require

expenditures over $100.00 will be presented to the membership at a regular

meeting for acceptance; they shall be responsible for the orderly and lawful

conduct of the membership at field trips or outings and shall have the

authority to correct any situation as required.

 

4. The Secretary shall record the minutes of the meetings; read all

correspondence and replies; correspond with dealers, other organizations,

magazines, and newspapers on all A.B.A. matters or as directed by the

President; prepares and mails all notices to the membership about meetings

or special functions; shall be prepared to read the minutes of the

previous meetings; shall prepare a summary of all unfinished business for

the use of the President.

 

5. The Treasurer shall receive all monies for the A.B.A. and shall

deposit them in the name of the A.B.A. in a bank approved by the membership.

Shall pay out sums only on orders signed by any two of the President,

Treasurer, and Vice-President; shall keep an accurate record of all

receipts and cancelled checks; gives a report at each meeting of balance on

hand and expenditures made since last meeting; gives records to successor

at end of term; shall maintain a membership book with the name and

address of each member and shall record the date of termination of any

membership.

 

6. Special Committee members are appointed by the President for special purpose

and their duties will terminate whenever the special function is completed.

 

7. When an officer fails to attend three consecutive meetings Without adequate

excuse, the Guidance Committee may declare his office vacant, and that open

nominations may be accepted and a new officer elected for that position by the

membership.

 

8. Each officer, upon expiration of his or her term of office or in case of

resignation, shall turn over to his successor without delay, all records, books,

and other material pertaining to the office; and he or she shall return to the

Treasurer without delay, all funds pertaining to his or her office.

 

Article VII – Amendments

 

These By Laws may be amended by a two-thirds (2/3) vote at any regular meeting,

provided notice has been given at the previous regular meeting or notified by mail.
